Effective Date: November 11, 2024

This Vendor Agreement (“Agreement”) is made between CodeBuySell LLC (“CodeBuySell,” “we,” “us,” or “our”) and the vendor (“Vendor,” “you,” or “your”) who uploads products for sale on the CodeBuySell platform, https://codebuysell.com. By uploading any product for sale on CodeBuySell, you agree to the following terms and conditions:

1. Revenue Share

  1. Lifetime Revenue Share: Vendors will receive an 80% share of the net sale price for each product sold on the CodeBuySell platform. The net sale price is calculated after the deduction of applicable taxes and fees. This revenue share remains applicable for the lifetime of the product’s availability on our platform, as long as the Vendor remains compliant with this Agreement.
  2. Payout Schedule: Vendor payments will be processed on a 30-day delay following the sale transaction. This delay period allows CodeBuySell to verify the transaction, review any potential buyer claims, and address any issues related to the sale.
  3. Payment Adjustments and Holdbacks: CodeBuySell reserves the right to hold payments or adjust the payout structure if any violations of this Agreement occur, such as product misrepresentation, failure to provide bug-free code, or other breaches.

2. Vendor Responsibilities

  1. Product Quality Assurance: By uploading a product (such as Unity game source code), the Vendor guarantees that:
  • The product is entirely bug-free, fully functional, and ready for use as intended.
  • The product is the Vendor’s own original creation, not infringing upon any third-party copyrights, intellectual property, or proprietary rights.
  • Any assets, code, and documentation included with the product meet quality standards and are ready for commercial use.
  1. Responsibility for Products: Vendors bear sole responsibility for the products they upload. CodeBuySell will not be liable for any claims, damages, or liabilities arising from the sale or use of Vendor products. Vendors are responsible for ensuring that the content they upload complies with all applicable laws and does not violate third-party rights.
  2. Preview Before Purchase Requirement: If a buyer selects the “Preview before Purchase” payment option on our platform, the Vendor agrees to demonstrate the product to the buyer. This demonstration must:
  • Be conducted through a secure screen-sharing platform such as Anydesk, TeamViewer, or similar tool.
  • Allow the buyer to view the product in full operation and confirm its functionality.
  • Be carried out promptly and in good faith to support the buyer’s decision-making process.
  1. Product Updates and Maintenance: Vendors are expected to maintain their products and address any reported issues or bugs promptly. Vendors should update the product’s version on CodeBuySell as needed to ensure consistent quality for buyers.

3. Compliance with CodeBuySell Policies

  1. Adherence to Platform Policies: Vendors must comply with all platform policies, procedures, and guidelines provided by CodeBuySell, including this Agreement and our Terms of Service. CodeBuySell maintains the right to update or modify these policies at any time, with or without notice, to enhance the platform’s safety and quality.
  2. Consequences of Policy Violations: Vendors are subject to strict compliance standards. Breaches of any aspect of this Agreement, including but not limited to misrepresenting products, failure to provide functional code, copyright infringement, or misuse of the “Preview before Purchase” process, may result in:
  • Suspension of Vendor account privileges.
  • Hold or reversal of pending payments.
  • Permanent removal of the Vendor’s account and all products listed under their name.
  1. Dispute Resolution and Chargebacks: If a buyer raises a dispute or requests a refund due to the product not meeting the quality standards or functionalities as stated, CodeBuySell reserves the right to withhold payment to the Vendor until the matter is resolved. Vendors may also be required to resolve issues directly with the buyer in good faith.

4. Intellectual Property and Ownership

  1. Vendor’s Intellectual Property: The Vendor retains all rights, title, and interest in and to their products uploaded to CodeBuySell, provided that they comply with this Agreement and any applicable third-party rights. Vendors grant CodeBuySell a non-exclusive license to display, market, and sell the product on the CodeBuySell platform.
  2. Indemnification: Vendors agree to indemnify, defend, and hold harmless CodeBuySell, its officers, employees, and agents from any claims, damages, liabilities, losses, or expenses arising from Vendor’s breach of this Agreement, including but not limited to any third-party claims of intellectual property infringement.

5. Payment Terms

  1. Payment Processing: Vendor payments are processed based on a 30-day payout delay. Vendors must ensure that their payment information is accurate and up-to-date to avoid payment delays.
  2. Currency and Payment Method: Payments to Vendors will be made in the currency selected by CodeBuySell and through payment methods supported by our platform. Vendors are responsible for any fees or charges that may arise from their selected payment method.
  3. Tax Obligations: Vendors are responsible for any tax obligations arising from income earned through CodeBuySell. Vendors agree to provide accurate tax information and comply with all relevant tax requirements.

6. Modifications to Agreement

CodeBuySell reserves the right to modify this Agreement at any time. Any changes will be effective upon posting the revised Agreement on the platform or notifying Vendors via their registered email. Continued use of the platform and product uploads following such modifications constitutes Vendor’s acceptance of the revised terms.
