Affiliate Agreement Policy for CodeBuySell LLC

Effective Date: November 11, 2024

This Affiliate Agreement (“Agreement”) is entered into by and between CodeBuySell LLC (“we,” “our,” “us”) and the individual or entity participating as an affiliate (“Affiliate,” “you,” “your”). By signing up as an affiliate, you agree to abide by the terms of this Agreement and all applicable laws and regulations.

1. Affiliate Program Overview

The CodeBuySell Affiliate Program allows individuals or businesses to earn a commission by referring customers to our platform. Affiliates receive a percentage of sales made through their referral links, creating an opportunity for ongoing income each time referred clients make a purchase.

  • Commission Rate: Affiliates earn a 10% commission on each sale generated through their referral link.
  • Recurring Earnings: Affiliates earn a commission on repeat purchases made by the same client, provided the sale was made through the initial referral link.

2. Affiliate Commission Structure

  1. Commission Payment:
  • The 10% commission is derived from the vendor’s 80% earnings share for each successful sale.
  • No portion of the platform’s share is included in the affiliate commission.
  1. Recurring Commissions:
  • Affiliates earn commissions on all subsequent purchases by the same customer if the purchases are made under the terms of the initial referral link.
  • Each sale completed by the client after the referral will continue to generate a 10% commission for the affiliate.
  1. Commission Eligibility:
  • Only sales generated through the affiliate’s unique referral link will be eligible for commissions.
  • Commissions do not apply to returned or refunded purchases.

3. Becoming an Affiliate

To become an affiliate, individuals or entities must complete an application on our Affiliate Program page, accessible at https://codebuysell.com/become-an-affiliate/.

  1. Acceptance:
  • CodeBuySell reviews all applications, and acceptance is at our sole discretion.
  • We reserve the right to reject any application or terminate an affiliate’s participation in the program if their promotional activities conflict with our values, mission, or business policies.
  1. Affiliate Link Assignment:
  • Once approved, each affiliate receives a unique referral link to track their referrals and commissions.

4. Payment Terms

Affiliates receive commission payments under the following terms:

  1. Payment Schedule:
  • Commissions are paid 30 days after a qualifying sale to account for any potential returns or refunds.
  • Payouts are processed monthly, and all qualifying commissions will be aggregated and paid once per month.
  1. Minimum Payment Threshold:
  • Affiliates must meet a minimum earnings threshold (e.g., $50) to receive a payout. If the threshold is not met, commissions will roll over to the next month until the minimum is reached.
  1. Payment Method:
  • Payments are issued through the payment method selected in the affiliate’s account settings. Affiliates are responsible for maintaining updated payment details.
  1. Account Suspension and Payment Forfeiture:
  • If an affiliate account is suspended due to policy violations, any accrued earnings may be forfeited, at our discretion.

5. Affiliate Responsibilities and Obligations

  1. Promotional Methods:
  • Affiliates are encouraged to promote CodeBuySell using ethical and appropriate methods, including blogs, websites, social media, and email newsletters.
  • Affiliates must not use misleading or deceptive practices to generate sales.
  1. Prohibited Activities:
  • Affiliates may not use spam, unauthorized ads, or any marketing strategies that violate the terms of this Agreement or applicable law.
  • Affiliates may not misrepresent their relationship with CodeBuySell or imply any form of endorsement.
  1. Compliance:
  • Affiliates must comply with all local laws, regulations, and online marketing best practices.
  • Any affiliate found to be in violation may face suspension, termination, or forfeiture of commissions.

6. CodeBuySell’s Rights and Responsibilities

  1. Policy Changes:
  • CodeBuySell reserves the right to update, modify, or terminate the Affiliate Program at any time, including adjustments to commission rates, payment terms, or eligibility criteria.
  • Affiliates will be notified of any material changes to this Agreement, which will become effective as stated in the notice.
  1. Account Termination:
  • CodeBuySell may terminate an affiliate’s account at any time if the affiliate breaches any terms of this Agreement.
  • In cases of account termination, any pending or accrued commission may be withheld or forfeited.
  1. Liability Limitation:
  • CodeBuySell is not responsible for indirect, special, or consequential damages (including loss of revenue or profit) arising from this Agreement.
  • We reserve the right to review and approve the content used by affiliates to promote our products and may request changes to ensure compliance with CodeBuySell’s brand image and standards.

7. Intellectual Property and Brand Usage

  1. License to Use:
  • Affiliates are granted a non-exclusive, non-transferable license to use CodeBuySell’s logos, images, and other promotional materials for the sole purpose of promoting our platform.
  1. Restrictions:
  • Affiliates may not alter or create derivative works of CodeBuySell’s trademarks or branding.
  • Unauthorized use of CodeBuySell’s intellectual property or misrepresentation of CodeBuySell’s brand will result in immediate termination of affiliate status.
  1. Affiliate Website Requirements:
  • Affiliates must clearly disclose their relationship with CodeBuySell on any site, blog, or social media platform where affiliate links are shared.

8. Termination of Agreement

  1. Termination by CodeBuySell:
  • CodeBuySell may terminate this Agreement at any time without notice if an affiliate violates any terms of this Agreement or engages in any behavior deemed harmful to our brand, customers, or vendors.
  1. Termination by Affiliate:
  • Affiliates may terminate their participation in the program at any time by notifying CodeBuySell via the contact details below. Upon termination, affiliates must remove all CodeBuySell affiliate links and promotional materials.
  1. Post-Termination Obligations:
  • Following termination, affiliates are not entitled to further commission payments and must discontinue all use of CodeBuySell’s brand assets.
  • If an affiliate terminates participation, all unpaid earnings will be forfeited unless otherwise agreed upon in writing.

9. Miscellaneous Provisions

  1. Independent Contractor:
  • Affiliates are considered independent contractors and are not employees, agents, or partners of CodeBuySell.
  • Affiliates have no authority to make or accept offers on behalf of CodeBuySell or bind the company to any agreement.
  1. Governing Law:
  • This Agreement is governed by the laws of the state in which CodeBuySell LLC is headquartered, without regard to conflict-of-law principles.
  1. Entire Agreement:
  • This Agreement constitutes the entire understanding between CodeBuySell and the Affiliate regarding the subject matter hereof and supersedes all prior agreements or representations.
